Useboards Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of the Useboards platform and related services (the “Service”) provided by Useboards LLC (“Useboards,” “we,” “our,” or “us”).

By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of the organization using the Service.

3. The Service

Useboards provides software for IT asset inventory, access management, onboarding and offboarding workflows, governance, compliance tracking, vendor management, and related operational processes.

We may modify, improve, or discontinue features at any time.

4. Customer Accounts

You are responsible for:

• Maintaining the security of your account.
• Protecting login credentials.
• Ensuring that users within your organization comply with these Terms.

You must promptly notify us of any unauthorized access.

5. Customer Data

You retain all rights to data, files, documents, and content submitted to the Service (“Customer Data”).

You grant Useboards a limited license to host, process, transmit, and display Customer Data solely as necessary to provide the Service.

6. Acceptable Use

You may not:

• Use the Service unlawfully.
• Attempt to gain unauthorized access to systems or data.
• Reverse engineer, decompile, or attempt to extract source code.
• Conduct security testing without prior written authorization.
• Upload malware or malicious code.
• Interfere with the operation of the Service.

7. Fees and Payments

Paid subscriptions are billed in advance.

Fees are non-refundable except as required by law.

Failure to pay may result in suspension or termination of access.

8. Third-Party Services

The Service may rely on third-party providers, including cloud infrastructure, authentication providers, payment processors, email delivery providers, and analytics services.

Useboards is not responsible for the products or services of third parties.

9. Availability

We will use commercially reasonable efforts to provide the Service but do not guarantee uninterrupted availability.

Maintenance, outages, and third-party failures may occur.

10. Security

We implement reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.

No security measure is perfect, and we cannot guarantee absolute security.

11. Intellectual Property

The Service, including software, designs, trademarks, documentation, and content provided by Useboards, is owned by Useboards LLC and its licensors.

Except for Customer Data, no rights are granted other than the limited right to use the Service.

12. Feedback

Any suggestions, ideas, or feedback may be used by Useboards without restriction or compensation.

13. Suspension and Termination

We may suspend or terminate access if:

• These Terms are violated.
• Payment obligations are not met.
• Use of the Service creates legal, security, or operational risks.

You may stop using the Service at any time.

14. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, Useboards disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

15. Limitation of Liability

To the maximum extent permitted by law:

Useboards shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Useboards’ total liability arising out of or related to the Service shall not exceed the amount paid by Customer to Useboards during the twelve (12) months preceding the event giving rise to liability.

16. Indemnification

You agree to indemnify and hold harmless Useboards LLC, its officers, employees, and contractors from claims arising from:

• Customer Data;
• Violation of these Terms;
• Unlawful use of the Service.

17. Export Controls and Sanctions

The Service may not be used in violation of U.S. export control laws or sanctions regulations.

Users represent that they are not located in, controlled by, or acting on behalf of sanctioned persons or prohibited jurisdictions.

18. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Any dispute shall be resolved in state or federal courts located in New Jersey.

19. Changes to Terms

We may update these Terms from time to time.

Continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
